YQ Merchant Terms of Service ("Terms")

Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the www.yq.sg website and/or YQ Merchant app (the "Service") operated by YQ ("us", "we", or "our"). Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service. By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service.

1. Accounts

When you create an account with us, you must provide us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service. You are responsible for safeguarding your device(s) that you use to access the Service and for any activities or actions under your YQ Merchant account(s), whether your password is with our Service or a third-party service. You agree not to share your account with anyone. Ensure that your Bank Account Number is correctly entered as you may not change this unless requested by contacting us. You agree to provide us your ACRA Profile upon request to verify your company if the need arises. You agree not to disclose your secret key to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account. You are required to contact us if there is any changes to your mobile devices so that we can update your account information.

2. Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 15 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you will cease usage of our Service.

3. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability. We reserve the rights to suspend payments for up to 100 days without prior notice, for any reason. Effects of termination may include additional checking of your account and its transactions. You may not be able to use our services and applications in the future if you are found to be breaching the terms or governing law. We reserve the right of final decision for termination or modification of your account.

4. Governing Law

These Terms shall be governed and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service. Bank’s terms and conditions applies as well.

5. Permitted and Prohibited Uses

5.1. Transactions

When you are requesting payments, you may only use the provided payment methods (Alipay, WechatPay, Visa/Master/Amex, request from Customer's YQ app) solely for the purpose of the transaction that the customer has authorized. You may not store, email, text, chat, or misuse card information for any unauthorized activity. If at any time we find that this term is breached, the case will be handed over to the local authorities if there is no valid reason from you. You agree to take full responsibility of the transaction and any chargebacks / refunds / legal actions when doing a transaction using our Transactions services. You must make sure to check the results of the current transaction after processing is correctly stated after you complete the transaction. We will not hold any responsibility for any mistakes or incorrect details you have requested from the customer. The customer will be required to do a 3DS Authentication based on the outcome of the card processor. Transactions that do not adhere to our terms or inappropriately documented may be held with us until the documents we requested are provided. Transactions that do not have signatures, customer's email address or invoices attached will also require additional documentation and will be held.

You are permitted the use of our Transactions services for the following with full responsibility taken by you:

• Payments by customers that have purchased or used Service that is listed in our Services & Products (physical goods, transportation, etc).

You are prohibited the use of our Transactions services for:

• Overcharging the customer.
• Unauthorized charges against cards.
• Any other non-law abiding activities.

You agree to submit any relevant documentation related to the transaction if the need arises. Redemptions that require documents to be submitted will be held until the provided documents are satisfactory.

Transactions Data: We store your IP when a transaction is created for security purposes, for more information, please read our privacy policy. Please note that in order to store receipt results, you must allow "Storage" permission for the app.

6. YQ Bookings

In order to receive bookings, your account should be in good standing and have an up-to-date profiles & documents in the Settings tab in the app. Verification of documents will take up to 7 days upon submission. You will be able to receive bookings if you see a YQ Service running in the notification center.

We only connect drivers to customers/callers and vice versa for bookings, we do not hold any responsibility for anything that happens during the booking itself between the customer and the driver. You (the driver) agree to take full responsibility for the booking you receive.

Bookings may come from both Callers and Customers, you will be notified if the booking you received was created by a Caller or Customer, and you will be responsible for communicating with the other party for the duration of the booking to prevent miscommunication.

7. Compatible mobile devices and third party carriers

We do not warrant that the services are compatible with your device, our apps will only work for Android 5.0 (Lollipop) or iOS 11.0. You may not use modified devices to use service (jailbreak) if contrary to the manufacturer's software or hardware guidelines. Changing of devices may incur a fee if more than twice a year.

8. Privacy

We value your privacy and ensure that the usage of your data is reasonably stated in our Privacy Policy, which may change from time to time.

9. Disputes

From time to time, disputes will happen as customers do not recognize charges made to their credit cards / payment methods. We try our best to ensure that disputes do not happen regularly. However, as a Merchant, you are responsible for communicating with your customer about the services and apps that we provide, in order to let the customer understand the payment that they are making through the app.

If the need arises, we may, at any time, request information of the transaction between you and the customer to verify and validate the transaction, and to respond to disputes. In the event of a dispute, you must submit all required documents to us within 7 days of the dispute. However, there are times where a dispute must be answered much quicker, where we will require you to submit the documents as soon as possible.

Your account may be terminated if there is no response from you. You are responsible for all fees incurred during a dispute. Penalties will be given if there are more than 2 disputes lost on your account. During a dispute, all your transactions will be suspended from redemption or reviewed by us.
